Terms of Service

These Terms of Service ("Terms") govern your use of the Redokun.com website and platform ("Service") operated by Redokun S.r.l.s., a company registered in Italy with registered office at Montebelluna (Treviso), Tax Code and VAT number 04784240261 ("Redokun", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Redokun reserves the right to update and change these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date above. Any new features that augment or enhance the Service shall be subject to these Terms. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

Violation of any of the terms below may result in the termination of your account. You understand and agree that Redokun cannot be responsible for Content uploaded to the Service by its users. You agree to use the Service at your own risk.

1. Account Terms

1. You must be 18 years or older to use this Service.
2. You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
3. Your login may only be used by one person. A single login shared by multiple people is not permitted. You may create separate logins for as many people as your plan allows.
4. You are responsible for maintaining the security of your account and password. Redokun shall not be liable for any loss or damage resulting from your failure to comply with this security obligation.
5. You are responsible for all Content uploaded and all activity that occurs under your account, including activity by other users you have authorised to access your account.
6. You may not use the Service for any illegal or unauthorised purpose. You must not, in the use of the Service, violate any applicable laws in your jurisdiction (including but not limited to copyright and data protection laws).

2. Billing Terms

1. The Service is billed in advance on a subscription basis. Fees are non-refundable except where required by applicable law. There are no refunds or credits for partial months of service, plan downgrades, or months unused with an open account.
2. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for the payment of all applicable taxes, levies, or duties, except where Redokun is required by law to collect them on your behalf.
3. You may upgrade to a higher plan at any time during your subscription period. For any upgrade, you will be charged only the difference between the new plan and the previous one for the remainder of the billing period.
4. Plan length cannot be extended or changed unless otherwise specified in the applicable Pricing Conditions.
5. Unused page or word allowances expire at the end of the subscription period in which they were allocated.

3. Cancellation and Termination

1. You may cancel your account at any time through the account settings within the Service, or by contacting us via email.
2. While your account is active, you may export your data — including your Translation Memory, Glossary, and translated documents — through the export features available in the Service, subject to the terms of your active plan.
3. When you cancel, your subscription remains active until the end of your current billing period. After your subscription ends, your Content will be scheduled for deletion. Redokun may retain your data for a limited period following cancellation solely to allow you to export any remaining data or to resolve accidental cancellations. Once deletion is complete, your data cannot be recovered.
4. If you cancel the Service before the end of your current paid subscription period, you will not be charged for the following period.
5. Redokun, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service for any reason at any time, including but not limited to violation of these Terms, abusive use of the Service, or conduct that threatens the security or availability of the Service for other users. Such termination will result in the deactivation or deletion of your account and the forfeiture of all Content in your account.

4. Use of Third-Party Services and AI Processing

1. Redokun uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
2. Certain features of the Service, including machine translation and AI-assisted content tools, involve the transmission of your Content to third-party service providers (such as DeepL, OpenAI, and other providers listed in our Sub-processor List) for processing. This processing is performed solely to deliver the Service functionality you have requested. For details on how each provider handles your data, including retention policies and how to disable specific AI features, see our AI Translation Vendors and Data Privacy guide.
3. Redokun does not use your Content to train machine learning or AI models. Third-party providers process your Content under data processing agreements that prohibit the use of your Content for model training.
4. AI-generated outputs (such as machine translations and AI suggestions) are provided as-is and without any warranty of accuracy, completeness, or fitness for a particular purpose. You are responsible for reviewing and validating all AI-generated outputs before relying on them.
5. The current list of sub-processors used by the Service is available at https://redokun.com/legal/sub-processor-list. Updates to this list are governed by the Data Processing Addendum.

5. Confidentiality

1. Redokun acknowledges that Content uploaded to the Service by you or your authorised users may include confidential or proprietary information ("Confidential Content").
2. Redokun shall treat all Confidential Content as strictly confidential and shall not disclose it to any third party except as necessary to provide the Service (including disclosure to authorised sub-processors as described in Section 4) or as required by applicable law or a court order.
3. Redokun shall take commercially reasonable measures to protect Confidential Content from unauthorised access, disclosure, destruction, or loss. In the event of a security breach affecting your Content, Redokun shall notify you promptly in accordance with the obligations set out in the Data Processing Addendum and applicable data protection legislation.
4. The obligations in this section do not apply to Content that: (i) is or becomes publicly available through no fault of Redokun; (ii) was lawfully known to Redokun prior to disclosure by you; or (iii) is independently developed by Redokun without reference to your Content.

6. Copyright and Content Ownership

1. All content and files uploaded to the Service must comply with applicable copyright law.
2. You represent and warrant that you or your licensors own all right, title, and interest in and to your Content, or that you have obtained all necessary permissions to use it with the Service.
3. We claim no intellectual property rights over the Content that is transmitted, stored, accessed, or processed in your account. Your Content remains yours.
4. We provide features that allow you to control who may access your Content. If you share your Content with others through the Service, those recipients may access and redistribute it.
5. You hereby grant Redokun and its employees a limited, non-exclusive licence to use, process, adapt, reproduce, and display your Content solely to the extent necessary to provide the Service, including processing by authorised third-party sub-processors as described in Section 4.
6. Redokun does not pre-screen Content, but reserves the right (without obligation) to refuse or remove any Content that is available via the Service, at its sole discretion.

7. General Conditions

1. Your use of the Service is at your sole risk. The Service is provided on an "as is" and "as available" basis.
2. Technical support is only provided to paying account holders and is available via email or web chat, in English and Italian only.
3. You must not modify, adapt, or hack the Service, or modify another website so as to falsely imply that it is associated with the Service or Redokun.
4. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without express written permission from Redokun.
5. We may, but have no obligation to, remove Content and accounts containing Content that we determine, in our sole discretion, to be unlawful, offensive, threatening, defamatory, or otherwise objectionable, or that violates any party's intellectual property rights or these Terms.
6. Verbal, physical, written, or other abuse (including threats of abuse or retribution) of any Redokun customer, employee, member, or officer will result in immediate account termination.
7. Redokun operates a fair use policy to ensure consistent service quality for all customers. If your usage of the Service — including API calls, AI translation requests, or storage — significantly exceeds typical usage patterns (as determined by Redokun), we reserve the right to contact you to discuss your usage, or to temporarily limit access until usage is reduced.

8. Limitation of Liability

1. Redokun does not warrant that (i) the Service will meet your specific requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results obtained from the use of the Service will be accurate or reliable, (iv) the quality of any products, services, information, or other material obtained through the Service will meet your expectations, or (v) any errors in the Service will be corrected.
2. To the maximum extent permitted by applicable law, Redokun shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with: (i) the use or inability to use the Service; (ii) the cost of procurement of substitute goods and services; (iii) unauthorised access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Service; or (v) any other matter relating to the Service.
3. To the maximum extent permitted by applicable law, the total aggregate liability of Redokun for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount of fees paid by you to Redokun in the twelve (12) months immediately preceding the event giving rise to the claim.
4. The limitations in this section apply regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if Redokun has been advised of the possibility of such damages.

9. Force Majeure

Redokun shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of government, pandemics, war or terrorism, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers. During any such event, Redokun's obligations under these Terms are suspended for the duration of the event.

10. Data Processing

To the extent Redokun processes Personal Data on your behalf in connection with the Service, the Data Processing Addendum (DPA) available at https://redokun.com/legal/dpa is incorporated into these Terms by reference. You authorise Redokun's use of sub-processors as listed at https://redokun.com/legal/sub-processor-list, as updated from time to time, with notice and objection rights as described in the DPA. For international data transfers, the Standard Contractual Clauses apply as set out in the DPA. In the event of a security breach affecting Personal Data, Redokun shall notify you in accordance with the DPA and applicable data protection legislation, including Regulation (EU) 2016/679 (GDPR) and Italian Legislative Decree 196/2003 as amended. In the event of any conflict between these Terms and the DPA regarding data processing, the DPA shall control.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Italian Republic, without regard to its conflict of laws principles. In the event of any dispute arising out of or in connection with these Terms or the Service, the Parties shall first attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days from written notice of the dispute. If the dispute is not resolved within this period, it shall be submitted to the exclusive jurisdiction of the Tribunale di Treviso (Court of Treviso), Italy.

12. Miscellaneous

1. The failure of Redokun to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
2. You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Redokun. Redokun may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets.
3. These Terms, together with the Data Processing Addendum and the Privacy Policy available at https://redokun.com/privacy, constitute the entire agreement between you and Redokun and govern your use of the Service, superseding any prior agreements.
4. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
5. Any modification to these Terms shall be valid and effective only if made in writing.
